Representative Matters
  • Counsel to Advisor in Privatization of Albanian Oil/Gas Properties
    • Represented the financial advisor to the purchaser in the privatization of certain Albanian oil and gas properties, principally three oil and gas exploration and development sites. Our client was an offshore advisor that was knowledgeable with respect to governmental processes and procedures in Albania. The purchaser was a U.S.-based small cap public company. The client’s advisory compensation package was structured as a combination of cash and securities of the purchaser and provided for compensation for future, as well as current, services, in excess of $20,000,000. As a result, and among other aspects, we advised our client on issues relating to compliance with U.S. securities laws.  
  • Investigated Trade Secret Theft from Oil Equipment Manufacturer
    • Led investigation into and provided counsel and coordination for response to theft of trade secrets from a multi-national oil equipment manufacturing corporation, where theft originated in eleven countries.
  • Represented Oil/Gas Company Regarding its OTCQX Listing
    • Represented a TSX-V listed oil and gas exploration and production company with respect to its listing on the OTCQX International, including ongoing counsel on U.S. securities laws and disclosure matters.
  • Advised Company on $1.2 Billion Carbon Emissions Offset Project
    • Advised a multinational energy company on its participation in a $1.2 billion carbon emissions offset project in China.
  • Advised Client on Acquisition of Interest in Solar Farm Projects
    • Represented a South Korean conglomerate in its $288 million bid for the acquisition of a U.S.-based developer’s interest in various utility-scale solar farm projects in the southwestern United States. Among these were approximately 3,000 megawatts (MW) of renewable projects including 1,500 MW of projects in advanced development.
  • Represented Manufacturer in Acquisition of Renewable Energy Assets
    • Represented a Korean manufacturer of polysiliconate products in its acquisition of U.S. renewable energy assets.
  • Created Joint Venture to Source Energy Projects in China
    • Represented a Singaporean family office in the creation of a joint venture to source large energy projects in China.
  • Advised Coal Mining Company Regarding Financing and SEC Compliance
    • Represented a NASDAQ-listed U.S.-based company engaged in international coal mining activities regarding Rule 144A debt financing and SEC compliance matters.
  • Advisor to Energy Developer on Interests in $750 Million Natural Gas Pipeline
    • Represented an independent Mexican energy developer regarding the 20% minority interests in an equity and debt financed $750 million natural gas pipeline infrastructure project. Also negotiated joint venture arrangements in which a Swiss private equity fund acquired the majority interest of a New York private equity fund.
  • Aided Petroleum Co. in Oil/Gas Exploration and Production Activities
    • Represented a Canadian petroleum company and global exploration and production group in oil and gas exploration and production activities, as well as financing and global tax structuring.
  • Managed Power Plant Investments for Private Equity Firm
    • Managed various power plant investments in the United States for the portfolio companies of a leading Texas-based private equity firm focused on power generation assets.
  • Managed Acquisition of Canadian Oil-Services Equipment Provider
    • Handled the formation of a Cayman Islands-based private equity fund and feeder fund along with the concurrent acquisition of a Canadian oil-services equipment provider.
