    • Represented HHS Technology Group, a nationwide leading software and solutions company serving the needs of commercial enterprises and government agencies. Assisted with corporate restructuring-related immigrant and nonimmigrant visa amendments for the all-foreign technology group, including but not limited to: an L-1 blanket petition amendment; I-140 immigrant petition amendments; new  H-1B, L-1B blanket visas; and new PERM applications.

    • Advised a hardware technology company on its restructuring and a SAFE financing of $150,000.
  • Counsel to Healthcare IT App Developers on Data Security
    • Provided counsel to healthcare IT app developers regarding solutions for secure, real-time sharing of medical information among providers.

    • Advised an Indian early-stage technology company on its Series A financing of $1.2 million.

    • Represented one of the officially appointed trustees in the Crazy Eddie consumer electronics chain bankruptcy cases. Successfully pursued millions of dollars of claims against members of the Antar family.
  • Advised Tech Company on Investment from Google Ventures
    • Advised an emerging technology company on its pre-seed and seed financing rounds, including an Investment from Google Ventures.
  • Advised AI Tech Startup on SAFE Financing
    • Advised an artificial intelligence technology startup on its $500,000 SAFE financing.
  • Counsel to Lithuanian Blockchain Technology Company
    • Advised a Lithuanian blockchain technology company on a $735,000 pre-seed financing and restructuring of a Lithuanian blockchain technology company with a Swiss parent.
  • Represented Company Specializing in Photopurification Technology
    • Represented SurePure, Inc. in a series of offshore equity financings involving shares of its common stock in transactions that were structured to comply with Regulation S under the Securities Act of 1933. We also prepared the Company’s registration statement to be filed to register the resale of the shares that were sold in the financings. 
  • Advised Cryptocurrency Company on SAFE Financings, Sale of Founders Stock
    • Advised a cryptocurrency technology company on a series of SAFE financings, totaling $450,000, and a private sale of founders stock in a Section 4(a)(2) transaction.
  • Negotiated Agreements for Series B FinTech Company
    • Provide ongoing counsel to an innovative Series B FinTech company, including negotiation and drafting of licensing agreements, electronic access and trading agreements, service level agreements, sub-advisory agreements, technology services agreements, and myriad other commercial agreements and FINRA-related matters.
  • Counseled British Chip Manufacturer in Cross-Licensing Joint Venture
    • Represented a British chip manufacturer in a cross-licensing joint venture with a major U.S. chip manufacturer for development of state-of-the-art chipsets for use in the telecommunications industry.
  • Won Favorable Arbitration Award for Communications/ Collaboration Tech Co.
    • Represented an Australian distributor of communications/collaboration technology in arbitration of breach of contract claims brought by a Canadian technology company. The arbitration was governed by Canadian law, and venued in Canada. The client fired its original counsel and engaged Barton after the arbitrator had already dismissed most of its counterclaims. Barton successfully challenged the negative rulings under rarely used arbitration appellate rules, winning reversal from an appellate arbitration panel as well as a multi-million-dollar damages award, plus legal fees.
  • Advised AI Security Operations Platform in Series A Financing
    • Advised a notable Silicon Valley AI-based security operations platform in its Series A financing round, led by Battery Ventures and Dell Technologies Capital. Also represented the founder’s previous company, a well-known “gold-standard” in the cybersecurity industry.
  • Represented AI Healthcare Tech Company in Series Seed Financing
    • Represented a SaaS-based machine learning/AI healthcare technology company in its Series Seed financing, led by Homebrew.
  • Represented PropTech 3D-Mapping Company in Series Seed Financing
    • Advised a PropTech company providing 3D-mapping and visualization for real estate developers in its Series Seed financing. Counseled company since it was spun-out of a highly respected architecture firm.
