Lani E. Medina is a senior associate in Barton’s corporate practice where she concentrates on business transactions with a primary focus on mergers and acquisitions, joint ventures, and minority investments.

Her practice comprises a wide range of matters including acquisition planning and financing, corporate governance, and complex regulatory matters, including entity formation and structuring options, Board composition and fiduciary duties, and commercial contract negotiation. Lani also has experience preparing SEC compliance filings on Form 10-K, Form 10-Q and Form 8-K, tender offer statements on Schedule TO and registration statements on Form S-4 and Form   S-1.

Lani has represented a diverse client base across a multitude of industries including finance, investment management, logistics, healthcare, and more, in hundreds of corporate/M&A transactions and capital markets offerings as the lead attorney.

Previously working as in-house corporate counsel for a nationwide veterinary network during a time of accelerated company growth, Lani has extensive experience managing external legal counsel on transactional and related regulatory matters. Lani routinely advised internal stakeholders, including C-suite and senior management, on general legal matters, risk management strategies, and internal policies and procedures. She is skilled at streamlining internal and external deal processes and supervising contract management and scalability. Lani also has represented collateral managers, sponsors, issuers, and underwriters in Rule 144A and Regulation S offerings and structured finance transactions.

Lani graduated from Fordham University School of Law, where she served as an associate editor of the Fordham International Law Journal. She began her legal career at K&L Gates, LLP and Clifford Chance US LLP, respectively, where she built a solid foundation as a motivated transactional attorney.

Prior to practicing law, Lani served in the United States Air Force as Information Manager Airman, 22nd Maintenance Squadron where she managed and reviewed performance evaluations for compliance with squadron guidelines. During her service, Lani was selected as Information Manager Airman of the Year, and she gained a strong work ethic and leadership skills that she still uses in her practice today.
