Brigette Renaud is a member of Barton’s Labor and Employment Practice Group.

Brigette’s practice focuses on employee benefits for employers, including retirement benefits, and welfare benefit plans under the Employee Retirement Income Security Act of 1974, as amended (ERISA), and equity-based compensation. This includes compliance, merger and acquisition transaction matters and plan design for both for-profit and tax-exempt organizations, amendments and compliance, Internal Revenue Code requirements, fiduciary advisement for ERISA and non-ERISA plans and trusts, including the investment of plan assets, and severance plans and agreements.

Brigette maintains a deep technical knowledge with a practical perspective through her combined law firm, in-house counsel, and consulting experience. She has provided advice and solutions in the pension and tax areas to for-profit and tax-exempt organizations and individuals as an attorney at major New York City law firms including Fried, Frank, Harris, Shriver & Jacobson LLP; Orrick, Herrington & Sutcliffe LLP, and Epstein, Becker & Green, P.C. As a principal benefits consultant for PricewaterhouseCoopers LLP, she advised Fortune 500 companies in qualified and non-qualified retirement plans, global stock option plans and provided assistance during governmental audits of their plans. Brigette also led a legal department serving as in-house General Counsel and Secretary to a large tax-exempt pension fund where she was responsible for all legal needs, including the fund’s pension plans, private equity investment contracts, advisement to the investment committee and corporate governance.

Brigette is admitted to the State Bars of New York and New Hampshire. Brigette earned her B.S. from the University of New Hampshire, J.D. from Wake Forest University School of Law, and an L.L.M. in Tax Law from New York University School of Law.

Brigette is fluent conversationally in French.

Representative Matters

Represented an AI and data intelligence company, providing analyses and advisement regarding IRS technical analyses for a controlled group of corporations significantly affecting employee benefits compliance and governance. Conducted data gathering and analysis to provide opinion of controlled group status under Internal Revenue Code Sections 410(b)(c) and (m).

Represented an SaaS company regarding 401(k) plan non-discrimination, vesting, and other operational failures dating back over 7 years. Collaborated with the new CEO to address 401(k) issue requiring deep technical 401(k) experience, including for the IRS Employee Plans Compliance Resolution System (EPCRS) to address plan failings. Also worked with CEO to provide advisement, practical solutions, and communications to both non-highly compensated employees and highly compensated employees.

Represented a client in an executive compensation matter in connection with M&A. Conducted an IRS Section 280G "Golden Parachute" payments analyses for executive with complex agreements, including a stock transfer agreement.

Advised a healthcare-focused software company in 401(k) testing and post-acquisition planning. Also advised regarding complex M&A issues post-closing in 401(k) and employee benefits.

Provided advisement regarding non-qualified plans and Department of Labor Top Hat Filing Requirements for a not-for-profit entity involving compliance for non-qualified plans and complex IRS-related matters.
