BB&P has an established practice representing institutional lenders and corporate borrowers in financing transactions on a secured as well as an unsecured basis, including debt and equity financing of acquisitions and recapitalizations, private placements, bridge financings, asset-based loans and multi-bank syndications. Our attorneys frequently work hand-in-hand with our clients and their investment bankers to structure debt and equity offerings to maximize the value of their investments.

Our banking practice also focuses on loan workouts and restructurings, both inside and outside of the Bankruptcy Court. BB&P's practice in this area is enhanced by its ability to draw upon the expertise of its attorneys in the corporate, litigation, real estate and tax practice areas when a workout or restructuring requires their skills.

The firm's corporate and commercial transactions attorneys handle a wide range of corporate matters, including mergers, acquisitions, recapitalizations, restructurings, spin-offs, joint ventures, strategic alliances, distributorships and licensing arrangements, as well as other general corporate, real estate and securities transactions. The firm's corporate client base includes Fortune 500 companies, public and private corporations, as well as not-for-profit corporations.

BB&P complements its commercial transactions practice with the expertise of its tax attorneys. We provide full-service tax related representation for a diverse array of businesses, tax-exempt not-for-profit entities including philanthropic and educational institutions, and high-net worth individuals. We also counsel partners and their partnerships on the tax consequences of organizing partnerships, conducting business and investment activities as partners, and terminating partnerships.

BB&P has a comprehensive commercial litigation and trial practice. Our attorneys know how to litigate and they know how to try cases. This is an important distinction. Good litigators need to be able to see the field, manage incredible amounts of information and coordinate many moving parts. Early case assessments and client strategy sessions play a crucial role in framing a case for successful disposition. Because we have the experience and proven ability, we can envision the end product and deliver the results our clients want.

Our litigation and trial practice covers a wide range of commercial and civil disputes in both the federal and state courts throughout the United States. We are also well versed in ADR techniques, both in lieu of litigation and as a litigation strategy.

BB&P also has an accomplished appellate practice, often finding itself involved in successful appeals at both the state and federal level that will ultimately create new law or clarify an unsettled area of the law.

We are zealous advocates, but we are also counselors. Risk management and litigation avoidance are at the forefront of our efforts as litigation counselors. We offer in-house training programs to our clients and take a proactive approach to reviewing our clients' business practices, contracts and relationships to avoid or reduce the incidents of litigation whenever possible.

BB&P's governance and compliance attorneys are uniquely qualified to advise public and private companies. Led by the former Vice President, General Counsel and Secretary of a Fortune 500, NYSE listed company, BB&P often serves as special or general counsel to those clients who have no in-house law department, and serves as counsel to in-house attorneys in situations in which our experience and perspective provide a helpful context to the complex legal decisions today's in-house attorneys are called upon to make. Typical assignments include Special Counsel for Disclosure and Compliance Program Initiatives for domestic and foreign filers; Special Counsel for Public Company Board and Committee Governance Matters; Special Counsel for Board and Committee Self-Assessments and Governance Reviews; and Independent Counsel to Boards and Board Committees.

Additionally, BB&P is routinely called upon to advise foreign companies on a broad range of compliance issues as they seek to establish their businesses in the United States. Established foreign filers seek the advice of the firm regarding their formal US governance, disclosure and compliance obligations.

Lastly, BB&P also serves as Special Counsel for a variety of not-for-profit Board and Committee governance matters, including advice regarding the evolving fiduciary standards for Directors of not-for-profits, the nominating committee, the audit committee, fund raising and general compliance.

BB&P provides effective and creative personal, financial, charitable and tax representation and planning to individuals, closely held companies, not-for-profit entities, charities and foundations. As a small practice group within a full service corporate and litigation law firm, we are able to provide the kind of confidential, personal advice and attention that people expect from a long-time family lawyer, while employing the financial acumen and resources of a sophisticated corporate law firm.

The group's attorneys work closely with financial institutions, registered investment advisors, certified financial planners and others who act in a fiduciary capacity for our clients. Personal Planning attorneys manage every kind of major asset, from airplanes and art collections to ranches and commercial real estate.

The group provides counsel in connection with valuation and transfer of such assets. The firm's attorneys help owners of closely held businesses create and administer partnerships, LLCs and corporations, which can ensure continuity of control and minimize transfer tax. The members of the Personal Planning group often address multi-jurisdictional issues, both within the US as well as matters that are international in scope.

Members of the Department provide clients with a broad range of services, with particular emphasis on the preservation of wealth and the minimization of wealth transfer and income taxation.

The Department's broad expertise naturally extends to providing individual clients with advice on the most personal of family questions, such as living wills; health care proxies; prenuptial and postnuptial agreements; and separation, divorce and child custody issues. We routinely administer large and complex trusts and estates and handle contested and non-contested probate and trust matters for executors, trustees and beneficiaries. Our attorneys also prepare estate, trust and guardianship accountings.

We represent US citizens and residents and foreign nationals on a global basis and imaginatively respond to their needs, often by crafting estate plans using structures and entities such as domestic and foreign limited partnerships, corporations, limited liability companies, private trust companies, and private and charitable trusts, either alone or in combination. These structures are intended to provide long-term wealth transfer planning while ensuring a minimum of income, gift, estate and other US and non-US transfer and asset-based taxes. BB&P's advice enables clients to transfer assets among family members and between generations, smoothly change control of family businesses, and make creative charitable donations.
