JORIS M. HOGAN

Mr. Hogan's practice focuses on advising principals, private equity firms and investment banks on domestic and cross-border M&A transactions involving public and private companies. He also represents issuers, underwriters and purchasers on public and private financings, and on corporate governance and other complex corporate matters.

Mr. Hogan has worked on a variety of complex domestic and cross-border merger and acquisition, infrastructure, capital raising and joint venture transactions for domestic and multinational clients for 30 years. His clients have included companies and investors in the power, energy and public utility, minerals, mining and mining machinery, retail food, toy and clothing, alternative energy, pulp and paper products, computing and technology, telecommunications, art and publishing, natural resources and many other industries.

In the area of capital formation, Mr. Hogan's experience runs the gamut from commercial bank lending, venture capital financing, IPOs and mezzanine and high yield debt financing to serving as fund formation and deal counsel to domestic private equity and hedge funds and as U.S. counsel for off-shore private equity funds and commercial corporations. Mr. Hogan has acted for commercial banks and other lenders, borrowers and other financial intermediaries such as investment banks and insurance companies. Mr. Hogan has represented buy-side and sell-side clients and joint ventures on offensive and defensive merger and acquisition assignments as well as joint ventures and other complex transactions, including hostile tender offers and cross-border takeover bids. He has also acted as corporate and securities and counsel for debtors-in-possession in Chapter 11 proceedings as well as creditors on a large number of corporate, merger and acquisition and securities law (including Securities Act registration and Exchange Act compliance) matters.

Mr. Hogan has a "AV Preeminent" peer review rating in Martindale-Hubbell.

Previously, Joris was a partner at Milbank, Tweed, Hadley & McCloy LLP where he helped to start the firm's public M&A practice and at Torys LLP in its New York office where he served from 2007 through 2011 on the firm's executive and compensation committees.
